NEXUS HEALTH TERMS OF SERVICE Effective Date: August 23, 2026 Welcome to Nexus Health ("Nexus Health," "Nexus," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Nexus Health website, mobile application, coaching services, AI features, and all related products and services (collectively, the "Services"). By creating an account, purchasing a subscription or coaching program, accessing the Services, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be legally bound by these Terms. 1. Eligibility To use the Services, you must: - Be at least 18 years of age, or the age of majority in your jurisdiction. - Have the legal capacity to enter into a binding agreement. - Provide accurate and complete information. - Comply with all applicable laws. We reserve the right to refuse or terminate service at our discretion. 2. Account Registration You are responsible for: - Maintaining the confidentiality of your login credentials. - All activity occurring under your account. - Providing accurate and current account information. - Promptly notifying Nexus Health of any unauthorized access to your account. You may not share, transfer, or sell your account. 3. Services Nexus Health provides educational health, fitness, nutrition, recovery, lifestyle, and wellness coaching, including AI-assisted recommendations and digital tools. The Services are intended for informational and educational purposes only and do not constitute medical advice or treatment. 4. No Medical Advice Nexus Health is not a licensed healthcare provider. Nothing within the Services should be interpreted as: - Medical advice - Medical diagnosis - Medical treatment - Prescription of medication - Emergency medical care Always consult a qualified healthcare professional regarding medical concerns. 5. Subscriptions & Payments Certain Services require payment. By purchasing a subscription or coaching program, you authorize Nexus Health and its payment processors to charge the applicable fees using your selected payment method. Prices may change at any time. Price changes will not affect charges already processed. 6. Automatic Renewals If you purchase a recurring subscription, your subscription will automatically renew at the end of each billing cycle unless canceled before the renewal date. You authorize recurring charges until cancellation. 7. Refund Policy Unless otherwise stated in writing or required by applicable law: - Payments are non-refundable. - Partial refunds are not provided. - Unused coaching sessions do not create refund rights. 8. User Responsibilities You agree to: - Use the Services lawfully. - Provide truthful information. - Follow safety recommendations. - Respect other users and staff. - Keep your account secure. - Comply with these Terms. 9. Prohibited Conduct You may not: - Share your account. - Reverse engineer the app. - Copy or sell Nexus Health content. - Upload malicious software. - Attempt unauthorized access. - Harass coaches, employees, or users. - Use the Services for unlawful purposes. - Misrepresent your identity. - Interfere with platform security or performance. Violation of these Terms may result in immediate account suspension or termination. 10. Intellectual Property All content provided through Nexus Health, including but not limited to software, logos, trademarks, branding, workouts, meal plans, educational materials, graphics, videos, AI-generated content, and text, is owned by Nexus Health or its licensors and is protected by applicable intellectual property laws. No content may be reproduced, distributed, modified, or commercially exploited without prior written permission. 11. AI Features Nexus Health may use artificial intelligence to generate educational recommendations and personalized coaching suggestions. AI-generated content may contain inaccuracies and should not replace professional medical advice or independent judgment. 12. User Content You retain ownership of content you submit, including progress photos, messages, measurements, and fitness data. By submitting content, you grant Nexus Health a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content as necessary to provide and improve the Services, subject to our Privacy Policy. 13. Third-Party Services The Services may integrate with third-party providers, including payment processors, wearable devices, analytics providers, and communication platforms. Nexus Health is not responsible for the availability, content, security, or practices of third-party services. 14. Availability of Services We strive to maintain uninterrupted access to the Services but do not guarantee continuous availability. Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. 15. Disclaimer of Warranties To the fullest extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. 16. Limitation of Liability To the fullest extent permitted by applicable law, Nexus Health and its owners, employees, contractors, affiliates, licensors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Services. Where liability cannot legally be excluded, Nexus Health's total liability shall not exceed the total amount paid by you to Nexus Health during the twelve (12) months preceding the event giving rise to the claim. 17. Indemnification You agree to defend, indemnify, and hold harmless Nexus Health, its owners, employees, contractors, affiliates, licensors, and representatives from any claims, damages, liabilities, costs, and expenses arising out of: - Your violation of these Terms. - Your misuse of the Services. - Your violation of applicable laws. - Your infringement of another person's rights. 18. Suspension & Termination We reserve the right to suspend or permanently terminate accounts for any reason, including violations of these Terms, fraudulent activity, abuse of the platform, non-payment, or conduct that threatens the safety or integrity of the Services. Termination does not automatically entitle you to a refund. 19. Force Majeure Nexus Health shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, internet outages, governmental actions, labor disputes, power failures, cyberattacks, or failures of third-party service providers. 20. Governing Law These Terms shall be governed by and interpreted in accordance with the laws of the state in which Nexus Health is organized or principally operates, without regard to conflict of law principles. 21. Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 22. Entire Agreement These Terms, together with the Coaching Agreement, Liability Waiver, and Privacy Policy, constitute the entire agreement between you and Nexus Health regarding your use of the Services. 23. Changes to These Terms We reserve the right to modify these Terms at any time. Updated Terms become effective when posted within the Services or otherwise communicated to users. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. 24. Electronic Acceptance You agree that checking a box, clicking "I Agree," electronically signing, creating an account, purchasing services, or continuing to use Nexus Health constitutes your legally binding electronic acceptance of these Terms. 25.
